A. The Charter or bylaws shall establish the requirements for a quorum, The act of a majority of the board present at a meeting at which a quorum is present shall be the act of the board; provided, however, that:

1. A quorum to commence a board meeting shall be no fewer than a majority of the board's total voting membership.

2. Any resolution authorizing or approving an action described in Section 1.16.140 shall require an affirmative vote of a majority of the board members voting on the issue, provided that such majority equals not less than one-third of the board's total voting membership.

B. Where the Charter provides for concurrence of the membership, such concurrence shall require an affirmative vote representing a majority of the members voting on the issue and at least (1) twenty (20) percent of any membership comprising less than one hundred (100) persons, or (2) ten percent of any membership comprising one hundred (100) persons or more.
